Introduction
1.1 Purpose
These Terms and Conditions (“Agreement”) govern the services provided by Blue Ladder Infra & Developer (“Contractor”) to our clients (“Client”) through our website blueladder.in . By engaging our services, you agree to comply with these Terms and Conditions.
1.2 Effective Date

2. Scope of Services
2.1 Statement of Work (SOW)
The Client shall provide a Statement of Work or project requirements that outline the scope, objectives, and specifics of the services to be performed by the Contractor. Any modifications or additions to the SOW must be documented in writing and mutually agreed upon.
2.2 Order Confirmation and Acceptance
Upon receipt of the SOW, the Contractor will provide a project quote and timeline. Once the Client confirms, the Contractor will issue an Order Confirmation. Any discrepancies or additional requirements will be addressed before starting the work.
2.3 Changes to Scope
If the Client wishes to modify the scope, it must provide written notice to the Contractor. Any substantial changes will require a new quote and agreement before implementation.
2.4 Project Cancellation
Clients wishing to cancel services must provide written notice. The Contractor reserves the right to charge for completed work up to the cancellation date. Notice should be sent via email and confirmed by phone if possible.
3. Delivery of Services
3.1 Delivery Expectations
The Contractor will complete and deliver services according to the timeline specified in the SOW. Any anticipated delays will be communicated to the Client promptly.
4. Use and Ownership of Project Materials
4.1 Client Materials
All materials provided by the Client, including but not limited to plans, designs, specifications, and confidential documents, remain the property of the Client. Upon project completion, these materials will be returned, and any copies or digital files will be deleted from Contractor’s systems.
4.2 Ownership of Work Product
The Client will own all deliverables and intellectual property created as part of the agreed-upon SOW. The Contractor assigns all rights to the Client upon full payment.
5. Fees and Payment
5.1 Standard Fees
Fees for services will be specified in the SOW. These fees shall not be altered without a mutually agreed written amendment.
5.2 Invoicing and Payment Terms
Invoices will be issued upon completion of agreed-upon project milestones. The Client agrees to pay the full invoice within 30 calendar days. Late payments may result in project delays or withholding of further services until payment is received.
6. Warranties and Remedies
6.1 Service Quality
The Contractor warrants that all services will be delivered in a professional manner and meet industry standards. Any deficiencies found within 30 days of project completion will be corrected at no additional cost.
6.2 Warranty Period
Any defects or issues identified within 30 days post-delivery will be rectified by the Contractor, provided they do not result from changes made by the Client after project completion.
6.3 Force Majeure
Neither party will be liable for delays or failure to perform due to unforeseen events such as natural disasters, strikes, or governmental actions. Both parties agree to communicate promptly if such an event impacts project timelines.
7. Confidentiality
7.1 Protection of Confidential Information
Both parties agree to maintain confidentiality for all proprietary information exchanged in the course of this Agreement. Confidential Information includes but is not limited to business practices, technical data, and project specifications.
7.2 Return of Confidential Information
Upon termination or completion of the project, the Contractor will return all Confidential Information provided by the Client and delete copies from its systems.
8. Dispute Resolution and Legal Compliance
8.1 Governing Law
This Agreement is governed by the laws of State . Any disputes arising from or related to this Agreement will be resolved in the courts .
8.2 Dispute Resolution
Both parties agree to make a good-faith effort to resolve disputes amicably. If unresolved, disputes may be subject to mediation or arbitration.
9. Updates to Terms and Conditions
Blue Ladder Infra & Developer reserves the right to update these Terms and Conditions at any time. Clients will be notified of significant changes, and continued use of services constitutes acceptance of the revised terms.
